Mimica — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you" or "user") and Axielo LLC, a California, USA limited liability company ("Axielo," "we," "us," or "our"), governing your access to and use of Mimica — our AI English pronunciation and conversation tutor — including the Android app and the web account portal at app.mimica.talk (together, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Mimica is an AI-powered English pronunciation and conversation tutor. The Service lets you practice speaking English with an AI tutor, receive pronunciation feedback and assessment, track your learning progress (such as your pronunciation error profile, CEFR level, streaks, and session history), and optionally use voice tone cloning to create a personal tone seed used within the app.

To deliver these features, parts of the Service run on your device and parts run in the cloud:

On-device: Text-to-speech (the tutor's voice) runs entirely on your device. Speech-to-text (transcribing what you say) can run on your device using an on-device model and falls back to a cloud provider when it cannot run locally. For voice tone cloning, the short enrollment recording is processed on your device to create a tone seed. The recording is deleted after setup, and the encrypted tone seed stays on that device until you delete it. Neither is uploaded to Axielo's servers, sold, marketed, or used for advertising or AI training.
In the cloud: To power the tutor, your conversation audio and/or text is sent to cloud service providers (see Section 6). This includes our AI language model provider, our speech-to-text provider (when on-device transcription is not used), and our pronunciation-assessment provider. Account, learning, and progress data are stored with our cloud infrastructure provider in the United States.

We may add, change, or remove features at any time.

2. Eligibility

You must be at least 13 years old to use the Service. The Service is not designed for or directed to children, and we do not knowingly collect personal information from children under 13. By using the Service, you represent that you are 13 or older and that you have the legal capacity to enter into these Terms. Voice tone cloning is an optional feature that Mimica makes available only to users who declare that they are 18 or older.

3. Accounts and Security

To use the Service, you create an account using your email address and authentication credentials, managed through our cloud infrastructure provider. You agree to:

provide accurate information when you sign up;
keep your login credentials confidential;
be responsible for all activity that occurs under your account; and
notify us promptly at hello@mimica.talk if you believe your account has been compromised.

You are responsible for maintaining the security of your account. We are not liable for any loss arising from unauthorized use of your account that results from your failure to safeguard your credentials.

4. Acceptable Use

You agree not to:

use the Service for any unlawful purpose or in violation of these Terms;
attempt to access, interfere with, or disrupt the Service, its infrastructure, or other users' accounts;
reverse-engineer, decompile, or attempt to extract source code or models from the Service, except where such restriction is prohibited by law;
upload or submit content that infringes the rights of others or that is unlawful, harmful, or abusive;
use voice tone cloning with any person’s voice other than your own, or without that person’s consent (see Section 5);
resell, sublicense, or commercially exploit the Service without our written permission; or
use automated means to access the Service in a way that imposes an unreasonable load on our systems.

We may suspend or terminate access for conduct that violates this Section.

5. User Content and Voice Tone Cloning

Your content. "User content" includes the audio (speech recordings) you produce during tutoring, the conversation transcripts generated from it, and any tone seed you create. As between you and Axielo, you own your user content. You grant Axielo a limited license to process your user content solely to provide and operate the Service for you (for example, transcribing your speech, generating tutor responses, assessing your pronunciation, and tracking your progress).

Voice tone cloning — your own voice only. Voice tone cloning is an optional, 18+ feature. By creating a tone seed, you represent and warrant that the voice being processed is your own and that you consent to its creation and use within the Service. You must not use another person's voice. The enrollment recording and resulting tone seed remain on your device as described above.

Location-specific consent. Before opening the microphone for voice tone cloning, the Service may use your request's IP-derived current country and region to decide whether a location-specific notice and express consent are required. Where required, voice tone cloning remains unavailable until you affirmatively agree to the displayed notice. You may decline and use a standard voice instead. This network location is not proof of residence and can be inaccurate; the Privacy Policy explains the limited compliance receipt we keep.

Important — what goes to the cloud. Although your voice-tone-cloning enrollment recording and tone seed stay on your device, your separate conversation audio and/or text may be sent to cloud service providers to run the tutor (see Section 6). Do not share information through the Service that you do not want processed by these providers.

Deletion. You can permanently delete your account and associated service data at any time (see Section 10), which purges your cloud service data and wipes the on-device tone seed, subject to the limited legal-retention exception for tone-consent receipts described in the Privacy Policy.

6. Service Providers (Subprocessors)

To operate the Service, we use the following third-party providers, which process your data on our behalf:

A language-model provider — receives your conversation text to generate the tutor's responses.
A speech-to-text provider — receives your audio and returns a transcript, when speech-to-text runs in the cloud rather than on your device.
A pronunciation-assessment provider — receives your audio and returns a pronunciation assessment.
A cloud infrastructure provider — hosts our backend in the United States: your account and authentication, stored transcripts, usage and learning data, and limited tone-consent compliance receipts. Its edge service derives the coarse country and region used for the jurisdiction check.

We do not sell or share your personal information, and the Service contains no advertising. For full details on what we collect, how it is used, retention, and your rights, see our Privacy Policy.

7. Intellectual Property

The Service — including its software, on-device models, designs, text, graphics, the Mimica name and brand, and all related intellectual property — is owned by Axielo or its licensors and is protected by law. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own learning. We reserve all rights not expressly granted. Nothing in these Terms transfers ownership of the Service to you. Your ownership of your own user content (Section 5) is unaffected by this Section.

8. Paid Subscriptions

Mimica offers paid subscription tiers.

Billing. Paid subscriptions are billed through Google Play Billing, with subscription management handled by a subscription-management processor. Axielo does not collect or store your payment card data directly — payment is handled by Google Play.
Auto-renewal. Subscriptions automatically renew at the end of each billing period at the then-current price, unless you cancel before the renewal date. Your Google Play account is charged for renewal.
Cancellation. You can cancel your subscription at any time through your Google Play account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
Refunds. Refunds are handled according to Google Play's refund policy. Because billing is processed by Google Play, refund requests are subject to Google's terms and processes.

Subscription tiers, features, and prices may change; any price change will apply to future billing periods in accordance with applicable store and legal requirements.

9. Disclaimers

Mimica is a learning aid, not certified language instruction. The Service is intended to help you practice and improve, and does not constitute accredited, certified, or professional language education, and does not guarantee any particular learning outcome, score, or certification.

AI output may be imperfect. The tutor's responses, transcriptions, pronunciation assessments, and other AI-generated output are produced by automated systems and may contain errors or inaccuracies. Do not rely on the Service as a sole or authoritative source.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Termination and Account Deletion

Your right to delete. You can permanently delete your account and all associated data at any time:

In the app: Settings → Delete account.
On the web: https://app.mimica.talk/delete

Deletion purges your cloud service data, deletes your account, and wipes the on-device tone seed. A limited tone-consent receipt may remain for its configured legal-retention period where reasonably necessary to comply with law or to establish, exercise, or defend legal claims. This action is permanent.

Termination by us. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AXIELO AND ITS OWNER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, USE, GOODWILL, OR PROFITS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, AXIELO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AXIELO FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Governing Law and Venue

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in California, USA, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the Effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Service and delete your account.
